Key February 2026 Tax Deadlines for Businesses

Key February 2026 Tax Deadlines for Businesses

The start of the year is a crucial period for business tax compliance, and February is packed with important filing deadlines. Ensuring your payroll forms, information returns, and tax deposits are handled correctly and on time is essential for avoiding costly penalties. Here’s a breakdown of the key dates you need on your calendar for February 2026.

The Critical February 2nd Deadlines

This is a major deadline for most businesses, covering year-end reporting for employees and non-employee compensation from 2025.

Forms W-2 and 1099-NEC

By February 2nd, you must complete two key tasks:

  • Provide Form W-2 to Employees: Every employee from 2025 must receive their W-2, either physically or electronically (with their consent).
  • Provide Form 1099-NEC to Contractors: If you paid an individual (who is not an employee) $600 or more for services in 2025, you must issue them a Form 1099-NEC.

Crucially, you must also file copies of these forms with the government by February 2nd. W-2s (with Form W-3) go to the Social Security Administration, and 1099-NECs (with Form 1096) go to the IRS. Keep in mind that businesses filing 10 or more information returns must do so electronically. Our firm can manage this entire process, ensuring your forms are prepared accurately and submitted on time.

Annual and Quarterly Payroll Tax Forms

Several federal payroll tax forms are also due:

  • Form 941 (Employer's Quarterly Federal Tax Return): File for the fourth quarter of 2025.
  • Form 940 (Employer's Annual Federal Unemployment (FUTA) Tax Return): File for the 2025 tax year.
  • Form 943 (Employer's Annual Federal Tax Return for Agricultural Employees): Farm employers must file for 2025.
  • Form 945 (Annual Return of Withheld Federal Income Tax): File to report income tax withheld in 2025 on nonpayroll items like pensions, annuities, and gambling winnings.

Other Important February 2nd Filings

Don't forget to furnish recipient copies of other key forms, including Form 1098 (Mortgage Interest) and various other 1099s (for interest, dividends, rent, etc.). Payers of gambling winnings must also provide Form W-2G to winners.

Extended Filing Deadline: February 10th

Did you deposit all of your employment taxes on time throughout the year? If so, the IRS gives you a little extra breathing room. For businesses that have made timely deposits in full, the deadline to file Forms 940, 941, 943, 944, and 945 is extended to February 10th.

Mid-Month Obligations: February 17th

The deadlines continue into the middle of the month.

  • Information Statements: Certain information statements must be furnished to recipients by February 17th, including Form 1099-B (Broker Transactions), Form 1099-S (Real Estate Transactions), and certain Form 1099-MISC filings.
  • Monthly Tax Deposits: If you follow a monthly deposit schedule, your deposit for taxes from January (Social Security, Medicare, and withheld income) is due.
  • Withholding Update: You must begin withholding income tax for any employee who claimed an exemption in 2025 but has not submitted a new Form W-4 for 2026.

Important Considerations

Weekends and Holidays

If a tax deadline falls on a Saturday, Sunday, or legal holiday, the due date automatically shifts to the next business day.

Disaster Relief Extensions

When a federal disaster is declared, the IRS often provides automatic filing and payment extensions for affected taxpayers. You can find the latest information on these relief provisions on the official websites below.
